Please read these Terms of Service ("Terms") carefully before using Loxia AI operated by Loxia AI ("we", "us", or "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Description of Service

Loxia AI is a B2B SaaS platform that enables businesses to create, deploy and manage AI-powered voice agents for inbound and outbound telephone communications. The Service includes call routing, real-time transcription, AI conversation management and analytics.

2. Eligibility

The Service is intended for businesses and professionals. You must be at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or your organisation.

3. Account Registration

You must provide accurate, current and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately at legal@loxia.ai if you suspect unauthorised access.

4. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of applicable laws and regulations
  • Make unsolicited or harassing calls (spam, robocalls in violation of applicable telemarketing laws)
  • Impersonate any person or entity
  • Attempt to reverse-engineer, decompile or extract the source code of the platform
  • Use the Service to transmit malware or conduct any form of cyberattack
  • Violate any third party's intellectual property, privacy or other rights
  • Exceed fair usage limits in ways that disrupt the Service for other users

We reserve the right to suspend or terminate your account immediately for violations of this section.

5. Credits and Billing

The Service operates on a prepaid credit system. Credits are deducted per minute of AI voice agent usage, at rates displayed in your account settings. Credits are non-refundable except where required by applicable law.

Subscription plans, if applicable, are billed in advance on a monthly or annual basis. You may cancel at any time; cancellation takes effect at the end of the current billing period.

6. AI Voice Agents and Telephony Compliance

You are solely responsible for ensuring that your use of AI voice agents complies with all applicable laws and regulations in the jurisdictions where you operate, including but not limited to:

  • Laws governing telephone recording and wiretapping (e.g., GDPR, CCPA, TCPA, Italian D.Lgs. 196/2003)
  • Telemarketing and do-not-call regulations
  • Consumer protection laws

You must enable the Legal Disclosure feature in the agent settings if you operate in jurisdictions requiring caller consent for recording. Failure to do so is your sole responsibility.

7. Intellectual Property

The Service, including its design, software, trademarks and content, is owned by Loxia AI and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose.

You retain ownership of all content you provide to the Service (prompts, knowledge base, recordings). By uploading content, you grant us a limited licence to process it solely to deliver the Service.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Loxia AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU IN ANY DISPUTE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.

10. Indemnification

You agree to indemnify and hold harmless Loxia AI and its officers, directors, employees and agents from any claims, damages, losses, liabilities and expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

11. Termination

We may suspend or terminate your account at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us or third parties.

Upon termination, your right to use the Service ceases immediately. Unused credits will not be refunded unless otherwise required by law.

12. Modifications

We may modify these Terms at any time. We will provide at least 15 days' advance notice via email or in-app notification for material changes. Continued use of the Service after the effective date constitutes acceptance of the new Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Italy, without regard to its conflict of law provisions. Any disputes shall be subject to the exclusive jurisdiction of the courts of Italy.
